This work will involve, but will not necessarily be restricted to, the review of the following areas of a potential merger organisations business: *Audited financial statements and any subsidiary undertakings (last 3 years); *External Audit Letters and associated Board reports (last 3 years); *Internal Audit Reports and associated Board reports (last 3 years); *Management accounts, budgets and cash flows (last 12 months); *Approved Business Plans (last 2 years); *Banking and funding arrangements, to the extent that this work is not carried out by separate legal due diligence on YCH; *Taxation position, in particular its arrangements for compliance with, and reporting of, Corporation Tax, VAT and PAYE. *Pension arrangements. *Insurance arrangements. *Stock condition records. *Current development programme. *Risk management and IT arrangements. It is important to the timing of the wider project that a final financial due diligence report, summarising the work carried out and its conclusions be delivered no later than November 30th 2017. Additional information: The contracting authority considers that this contract may be suitable for economic operators that are small or medium enterprises (SMEs).
