## Summary

The contracting authorities, comprising The Council of the Borough of Stockton-on-Tees, The Council of the Borough of Hartlepool, The Council of the Borough of Middlesbrough, and The Council of the Borough of Redcar and Cleveland, have completed a procurement process to extend the existing contract for residual waste management with Suez Recycling and Recovery UK Ltd. This contract, which originally started in 1995, is now set to be extended from its current expiration date of 31 March 2026 to a minimum of 31 March 2028 and a maximum until 31 March 2031. The extension aims to accommodate anticipated legislative changes and waste tonnage reduction due to new regulations. This modification ensures the continuity of services in Tees Valley under a limited procurement method without prior publication of a call for competition, valued at GBP 125,000,000.

This extension provides significant business opportunities for companies looking to engage in the waste management industry, particularly those specialised in non-hazardous waste treatment and disposal services. Businesses that can offer innovative solutions and flexible approaches to evolving environmental regulations would be well-suited to compete. The tender aligns with long-term plans for the development and operation of a new energy recovery facility, thus presenting potential future opportunities for companies involved in the design, build, finance, and operation sectors of waste management infrastructure.

## Notice

The contracting authorities are not awarding a new contract. This VEAT notice is in respect of a proposed modification to extend and make minor amendments to the existing contract for the treatment and disposal of household and other waste. See sections II.2.4 and IV.1.1 for further details.

### Lot Information

Lot 1

This is not a new contract opportunity, but rather a VEAT notice to inform the market that the contracting authorities are seeking to extend their existing contract for the treatment and disposal of residual waste with Suez Recycling and Recovery UK Ltd which was originally awarded in 1995 and is due to expire on 31 March 2026. The extension period will be for a minimum of two years (terminating on 31 March 2028) and for a maximum of five years (with a long stop expiry date of 31 March 2031). The minor amendments are to: (i) acknowledge the anticipated legislative changes in respect of extension of the UK Emissions Trading Scheme to waste incineration; and (ii) address the reduction in tonnage likely to result from the implementation of weekly segregated food waste collections pursuant to the Separation of Waste (England) Regulations 2024. The contracting authorities are currently in procurement (alongside three other local authorities) for a longer term contractor to Design, Build, Finance and Operate an energy recovery facility for the treatment and disposal of this waste. This limited contract extension with minor amendments will provide flexibility for the contracting authorities and ensure continuity of service provision for the treatment of non-recycled waste until such time as the successful contractor takes responsibility for the management of the waste under the new longer term contract.

### Procurement Information

This VEAT notice relates to a modification to the contract originally awarded in 1995 following a competitive award process. The contracting authority considers that the modification is permitted by Regulation 72(1)(e) of the Public Contracts Regulations 2015 as a modification which is not substantial. The proposed extension and minor amendment of the contract is based otherwise on substantively the existing terms and conditions and does not render the contract materially different in character, change the economic balance of the contract or considerably extend its scope. The contracting authorities do not consider that if the contract had originally been advertised to include this extension and minor amendment that it would have attracted any different participants or candidates or that the outcome of the original procurement would have been any different.
