## Summary

The recent public procurement process led by Northern Trains Limited involves a contract for the supply of services related to Ticket Vending Machines (TVMs). This process, categorized under services for the repair, maintenance, and associated railway equipment, includes actions like inspection, servicing, repair, refurbishment, and performance testing to maintain compliance with safety and operational standards. Located across regions UKC, UKD, and UKE in the United Kingdom, the contract was signed on 17 December 2025. The procurement stage is complete, with the procurement method described as "limited" or a negotiated approach without prior publication of a competition call, owing to exclusive rights that necessitate awarding the contract to a specific operator.

This procurement offers business growth opportunities, particularly for specialised firms in railway services, maintenance, and technical support. Given the specific nature of services requested, businesses capable of providing comprehensive maintenance, refurbishment, and technical upgrades for ticket vending machines would be well-suited to engage with such contracts. The direct award underscores the importance of possessing proprietary technology or specific technical capabilities that allow a business to deliver unique solutions in compliance with operational standards. Such qualifications can provide a competitive edge in similar procurement processes where exclusivity in expertise is a determining factor.

### Procurement Information

Award a contract directly as this approach is allowed under the UCR's where restrictions on the use of IPR do not trigger a requirement to conduct a new OJEU-compliant tender process. We believe in this circumstance the following is applicable: There are grounds where NTL as public body could modify a contract with a third party using the exemptions in Regulation 88 of the UCR. This exemption is provided for under the following UCR Regulation: 88.-(1) Contracts and framework agreements may be modified without a new procurement procedure in accordance with these Regulations based on the following: (b) for additional works, services or supplies by the original contractor, irrespective of their value, that have become necessary and were not included in the initial procurement where a change of contractor: (i) cannot be made for economic or technical reasons such as requirements of interchangeability or interoperability with existing equipment, software, services or installations procured under the initial procurement; and (ii) would cause significant inconvenience or substantial duplication of costs for the utility. The absence of competition is not the result of an artificial narrowing down of the parameters of the procurement.
