## Summary

Transport for London is acting for the Old Oak and Park Royal Development Corporation (OPDC), which intends to procure specialist heat-network commercial advisory services for the OPEN Heat Network Project. The adviser will provide commercial, contractual and governance oversight through interim and full financial close and the later development and construction phases. The anticipated procurement covers one lot and has an estimated value of £640,000 excluding VAT, or £768,000 including VAT. The expected contract period is 5 October 2026 to 4 October 2027, with a maximum extent to 3 September 2029 and a renewal option. The buyer expected the next notice on 14 September 2026. Clarification questions were due by noon on 25 August 2026, and expressions of interest by 5pm on 28 August 2026.

This engagement will suit specialist commercial advisers with demonstrable experience in heat-network projects and closely comparable commercial, contractual and governance assignments. Relevant firms should be able to advise through financial close and into development and construction, while monitoring contractual compliance, deliverables, resource commitments and governance obligations. TfL and OPDC are seeking evidence of comparable contracts delivered, including the supplier’s role and the scope of services, together with confirmation of capability and capacity. The requirement is marked as suitable for small and medium-sized enterprises. There is no supplier engagement event or questionnaire planned. Participation in this exercise will not confer an advantage in any later procurement, so interested suppliers should use it to position their experience for a possible future competition.

## Notice

Old Oak and Park Royal Development Corporation requires a Heat Network specialist commercial advisor to provide, commercial contractual and governance oversight to monitor compliance with their obligations through interim and full financial close as well as the development and construction phase of the OPEN Heat Network Project. This will include reviewing and supporting OPDC with their contractual arrangements, regular reporting, stakeholder engagement, and monitoring of project deliverables, resource commitments, and contractual obligations to ensure alignment with the Shareholders' Agreement, Development Services Arrangement and wider project governance framework.

### Planning Information

Transport for London (TfL), on behalf of the Old Oak and Park Royal Development Corporation (OPDC), is undertaking preliminary market engagement to identify suppliers with demonstrable experience of delivering the same or closely comparable specialist heat-network commercial advisory services.
The potential requirement is for a specialist heat-network commercial adviser to provide commercial, contractual and governance oversight to support OPDC through interim and full financial close and during the subsequent development and construction phases of the OPEN Heat Network Project.
The anticipated services include:
Reviewing and supporting OPDC's commercial and contractual arrangements;
Monitoring compliance with contractual and governance obligations;
Providing regular project monitoring and reporting;
Supporting stakeholder engagement and governance processes;
Monitoring project deliverables, resource commitments and contractual obligations; and
Ensuring alignment with the Shareholders' Agreement, Development Services Arrangement and wider project-governance framework.
Suppliers with relevant experience of delivering the same or closely comparable requirements are invited to express their interest. The expression of interest should briefly provide:
The supplier's name and contact details;
Details of relevant heat-network commercial advisory experience;
Examples of the same or closely comparable contracts previously delivered;
The supplier's role and the scope of services provided; and
Confirmation of its capability and capacity to undertake this potential requirement.
No supplier engagement event or questionnaire is planned as part of this exercise.

Expressions of interest must be submitted by email to AyobamiArotiba@tfl.gov.uk by 5:00 pm on 28 August 2026, using the subject line: "OPDC OPEN Heat Network - Preliminary Market Engagement Response."
The information received will be used to assess market interest and inform TfL and OPDC's decision regarding the most appropriate procurement route.
Participation in this preliminary market engagement does not constitute participation in a formal procurement process and will not give any supplier an advantage in any subsequent procurement. This notice does not commit TfL or OPDC to commencing a procurement or awarding a contract. Suppliers will not be reimbursed for any costs incurred in submitting a response.
Any subsequent procurement opportunity will be advertised separately in accordance with the applicable procurement requirements.
