## Summary

The Northern Ireland Housing Executive is procuring interim window and door replacement works for its tenants in Northern Ireland. The requirement is classified as building construction work and covers the continuation and completion of existing replacement works under the CT0121 contract. The scope remains unchanged by the modification: responsibility is transferred from Greenview Gas Ltd to H&A Mechanical Services Ltd, or potentially another replacement contractor, with the Housing Executive’s consent. The work is intended to ensure continued delivery of essential housing services while outstanding contractual obligations are completed. This is a public-sector housing works requirement rather than a supply-only opportunity, and is relevant to contractors able to undertake window and door replacement and associated building construction work at housing properties across Northern Ireland.

The procurement has been completed and the contract modification has been awarded to H&A Mechanical Services Ltd, an SME. The award was made through a limited negotiated procedure without publication of a contract notice, using the existing contract’s review clause under Regulation 72(1)(d). The original contract began on 16 October 2023 for 24 months to 15 October 2025. The modification provides for a further 52 weeks from the operable date of the proposed deed of novation, because the incumbent could not complete its obligations in time. The contract was signed on 17 September 2026 and has an awarded value of £1,803,538. Evaluation was based on quality at 30% and price at 70%. The contract’s overall scope and value were stated to remain unchanged.

This award shows that the Northern Ireland Housing Executive uses external contractors for sizeable, ongoing window and door replacement programmes in social housing, including situations where a replacement contractor must take over incomplete works. A credible competitor for a future requirement would need practical capacity for building construction and property maintenance works, with the workforce, management arrangements and supply chain needed to complete multiple housing repairs and replacements. Experience of delivering window and door replacement in occupied or managed housing would be directly relevant, as would the ability to assume responsibility for partially completed works and maintain essential service delivery. Suppliers should also be able to demonstrate that they meet the original participation requirements for this type of Housing Executive contract and can compete on both technical quality and price.

## Notice

The purpose of this VEAT notice is to inform and give prior notice to the market that the Northern Ireland Housing Executive (NIHE) intends to modify this contract in accordance with Regulation 72(1)(d) of the Public Contracts Regulation 2015 to (i) novate the contract from Greenview to H&A (or an alternative contractor to be determined in due course); and (ii) extend the contract for an additional 52 weeks. Regulation 72(1)(d) permits this modification because the contract contains an unequivocal review clause or option in conformity with Regulation 72(1)(a).

### Lot Information

Lot 1

The purpose of this VEAT notice is to inform and give prior notice to the market that the Northern Ireland Housing Executive (NIHE) intends to modify this contract in accordance with Regulation 72(1)(d) of the Public Contracts Regulation 2015 to (i) novate the contract from Greenview to H&A (or an alternative contractor to be determined in due course); and (ii) extend the contract for an additional 52 weeks. Regulation 72(1)(d) permits this modification because the contract contains an unequivocal review clause or option in conformity with Regulation 72(1)(a).

### Procurement Information

The contract commenced on 16th October 2023 for 24 months until 15th October 2025. The current contractor, Greenview Gas Ltd, intends to novate the contract to H&A Mechanical Services Ltd ('H&A'), or an alternative contractor to be determined in due course, with the consent of the NIHE, pursuant to clause 26.1 of the contract. As part of the novation, the NIHE intends to extend the service period of the contract by 52 weeks from the operable date of the proposed Deed of Novation. The necessity for this has arisen due to the inability of the incumbent contractor to complete their contractual obligations in a timeous manner. It has therefore become necessary for a new contractor to assume the contractual responsibility and complete the remaining work. As such, the service period needs to be extended by 52 weeks to allow H&A (or any other new contractor) sufficient time to complete the services thus ensuring essential service delivery for NIHE tenants. The modification is permitted under Regulation 72(1)(d). Also, the modification is permitted from the perspective that H&A satisfy all the requirements under the original procurement to qualify for award. Regulation 72(1)(d)(i) permits a contract modification where a new contractor replaces the one to which the contracting authority had initially awarded the contract as a consequence of an unequivocal review clause or option in conformity with Regulation 72(1)(a). Regulation 72(1)(a) permits modifications that, irrespective of their monetary value, have been provided for in the initial procurement documents in clear, precise and unequivocal review clauses, which (i) state the scope and nature of possible modifications or options as well as the conditions under which they may be used, and (ii) do not provide for modifications or options that would alter the overall nature of the contract or the framework agreement. This modification is permitted under Regulation 72(1)(d)(i) because the contract between the NIHE and Greenview includes an unequivocal review clause, namely clause 26.1 of the contract. Furthermore, pursuant to clause 26.1, the NIHE has consented to the novation. In addition, the proposed novation does not provide for modifications or options that would alter the overall nature of the contract. For example, the scope of the services will remain unaltered as will the overall value of the contract.
