                    "rationale": "Need for modification brought about by circumstances which a diligent contracting authority/entity could not foresee: A non-substantial modification of the existing contract under Regulation 88(1) c of the Utilities Regulations 2016 to Churchill Contract Services Limited due to both of the following conditions being met: a. The need for modification has been brought about by circumstances which a diligent utility could not have foreseen The previous incumbent cleaning services contract is being extended for a limited period to ensure continuity of essential operational cleaning services across the Nexus transport network. Following the commencement of a new procurement process for replacement services, a legal challenge has arisen in relation to that procurement. As a consequence, the replacement contract cannot be implemented within the originally anticipated timescales. Nexus could not reasonably have foreseen the timing and impact of the challenge at the point at which the replacement procurement was planned and undertaken. The modification is necessary to maintain uninterrupted service delivery while the challenge is resolved and/or the procurement is concluded. The modification does not alter the overall nature of the contract. No material changes are being made to the scope of services, and the extension is limited to the period necessary to maintain continuity pending completion of the procurement process."
