## Notice

The Scottish Government requires expert independent financial advice in relation to the various conditions, undertakings and monitoring requirements of the Guarantee and Reimbursement Agreement (GRA) that exists between the Scottish Government and Liberty Aluminium Lochaber Limited ("SmelterCo") and SIMEC Lochaber Hydropower Limited ("HydroCo").The purpose of this commission is to obtain expert independent financial advice in respect of the ongoing financial stability of the principal counterparties to this transaction, and to establish an evidence-based reporting mechanism that provides timely notification of key risks so that effective decisions can be made by Scottish Government in respect of its guarantee exposure over the life of the guarantee.
