As part of the Millerhill Low Carbon District Heating Project (MLCDHP), Midlothian Council requires the services of a legal adviser to assist the Council procure a Joint Venture Partner and set up an Energy Services Company (ESCo). The overriding aim of this tender is to appoint a legal adviser that can demonstrate a successful track record in delivering Joint Venture Agreements in the energy sector and, has significant experience of advising on district heating projects. The Legal Adviser shall be expected to procure and manage input from finance and technical advisers where required. The Council has already procured a Commercial Adviser (Ener-Vate) to work alongside the Project Team and Legal Adviser. Through the Competitive Dialogue procedure, the legal adviser shall assist the Council procure a Joint Venture Partner, complete the Final Business Case for the MLCDHP being delivered by a JV structure and (subject to approval of the FBC) appoint the Joint Venture Partner and set up an Energy Services Company.

Options: Optional work packages relating to commercial and technical advice may be called upon if required.

Renewal: Should the programme relating to the project be subject to change for any reason.
