Summary of the contracting process

Cornwall Council has awarded a care home services contract to Sanctuary Care Limited for on-site care and support. The work is classified as social work services with accommodation and is to be delivered in Cornwall. This is a service requirement for people needing care and support in a residential setting, rather than a supply of goods or construction work. The council is the buyer, while Sanctuary Care Limited is the selected provider. The procurement is focused on the delivery of care home services under the council’s strategic partnership arrangements.

The procurement is complete and the contract was awarded to Sanctuary Care Limited by direct award. Cornwall Council relied on the supplier’s claimed exclusive rights under its Strategic Partnership Agreement, stating that there were no reasonable alternatives. The award date was 28 August 2026 and the awarded value is £1,082,000,000. The contract period is 1 January 2027 to 30 September 2034, with options for three further eight-year periods and one further four-year period, to a maximum total duration of 36 years. The council expects the contract to be signed by 16 November 2026. The procurement was not divided into separately described lots, and no evaluation criteria are recorded.

For suppliers assessing future care home opportunities with Cornwall Council, this award indicates demand for large-scale, long-term residential care and on-site support. A credible competitor would need the operational capacity to run care home services across Cornwall over an extended contract, with the workforce and service delivery capability required for continuing residential care. The council’s stated basis for this award was an exclusive right arising from a strategic partnership, rather than a competitive comparison of bids. Suppliers should therefore take account of the buyer’s existing partnership arrangements and whether they could establish a position capable of addressing the same requirement when it next comes to market. The selected provider is a large care company, indicating the scale of organisation that secured this contract.

Procurement Information

Cornwall Council (the "Authority") wishes to award a contract to the Supplier for the delivery of on-site care and support services. The Authority considers it can directly award a contract to the Supplier under section 41 of the Procurement Act 2023 in reliance on direct award justification in paragraph 5 of Schedule 5 of the Procurement Act 2023. This allows direct award where: (a) due to a particular supplier having intellectual property rights or other exclusive rights, only that supplier can supply the goods, services or works required; and (b) there are no reasonable alternatives to those goods, services or works. The Supplier is party to a 40 year Strategic Partnership Agreement (SPA) with the Authority, commencing in 2022. The SPA holds that the Authority provide for the agreement of a new Care Contract on a reasonably balanced basis for similar forms of contract and to be on no worse terms than the Care Homes Contract. The Authority's position is that the SPA creates an exclusive right for the Supplier to be awarded a new care contract. On the basis "a particular supplier has exclusive rights which means only that supplier can supply the services and there are no reasonable alternatives to those services"
