NHG Legal Services Framework 22_23
Notice Description
Notting Hill Genesis (NHG) is looking to re-procure its Legal Services framework to support the delivery of all functions of the organisation. The current framework is due to expire in March 2023 and the intention is that it will be replaced following this public procurement process.
Lot Information
Lot 1a - Development and regeneration (Simple), and Building Safety
This lot relates to simple transactions, typical of developing registered providers, which should be regarded as a straightforward package deals for the acquisition of affordable housing from developers; stock rationalisation; conveyancing in connection with the purchase of single dwellings or the purchase of land with or without planning consent from a single owner with registered title, providing good and marketable title where Heads of Terms have been agreed by NHG and the seller's solicitors provides the purchase contracts. There are no third-party arrangements with other land owners or building contracts.
Lot 1b - Development and Regeneration (Complex), and Building SafetyThis lot relates to complex transactions, which should be regarded as likely to involve other parties other than the seller, have complex title matters, involve more than one company within the NHG structure and will involve an element of tax planning. The instructions will reflect the increasingly complex, multi-party legal agreements and transactions that we are engaged in.
Lot 2 - Employment and Health and SafetyThis lot relates to a variety of issues regarding employment and health and safety such as internal employment policies and procedures, employment contracts, employment disputes including grievance, tribunal claims, pension advice, UK health and safety legislation and its application to housing associations.
Lot 3 - Residential ServicesThis Lot relates to advice surrounding anti-social behaviour proceedings, disrepair claims, gas servicing claims, general tenancy management temporary housing, internal housing management policies and procedures, service charge disputes, sub-letting issues.
Lot 4 - Corporate and GovernanceThe service provider will be expected to provide the following services under this lot but not limited to compliance with relevant UK legislation, procurement support, mergers and acquisitions and related due diligence, group structure, governance and policies, further governance issues, regulatory issues, company secretarial matters, corporate litigation.
Lot 5 - Treasury and FinanceThe service provider will be expected to provide the following services under this lot including any ad-hoc work as required but not limited to: tax, including (but not limited to) VAT, legal elements of Notting Hill Genesis's investment policy and related charity law matter, loan security, drafting of and advice in relation to financing documentation, property charging and title review work, financing.
Lot 6a - Sales ConveyancingThe service provider will be expected to provide the following services under this lot as required but not limited to shared ownership sales, sales (freehold and leasehold), staircasing, creation of leases and legal documentation, lease extensions and other transactions, administer our H2B contract with Homes England.
Lot 6b - Commercial ConveyancingThe service provider will be expected to provide the following services under this lot as required but not limited to lease negotiations (Sales and lettings), creation of leases and legal documentation (where required - scheme specific), lease extensions and other transactions, other requirements including compliance with legislation, general dispute resolution and legal advice.
