Glasgow Prestwick Airport ("GPA") is an international airport on the west coast of Scotland in the UK. Prestwick Aviation Holdings Limited ("PAHL") wholly owns GPA. PAHL is wholly owned by TS Prestwick Holdco Limited ("TS Holdco"), which in turn is wholly owned by the Scottish Ministers. In June 2019 TSP HoldCo instigated a sale of its shareholding in PAHL. A preferred bidder was appointed in December 2019. However, due to the impact of the Covid-19 global pandemic, the preferred bidder withdrew from the process. On the basis of continued market interest, TSP Holdco has decided to again explore the sale of 100% of its shareholding in PAHL by way of a voluntary competitive process. GPA offers a wide range of aviation services including freight, passenger military, specialist executive handling as well as general aviation. Further information about the Proposed Transaction can be found in the EQ which has been uploaded with this voluntary notice. PAHL and TSP Holdco do not consider that the Proposed Transaction is subject to the requirements of the Utilities Contracts (Scotland) Regulations 2016 (\"2016 Regulations\"), the Public Contracts (Scotland) Regulations 2015 and the associated EU Directives. These responses should be ignored for the purposes of the Proposed Transaction. PAHL and TSP Holdco reserve the right to make revisions to the documentation (including the EQ) and/or the context, process, timing and structure of the process at any time. No additional time in relation to submission deadlines will be granted, following notification of any such revision, unless expressly notified by PAHL and TSP Holdco. Bidders shall be solely responsible for all costs, expenses and liabilities incurred in connection with the Proposed Transaction including preparation and submission of Eligibility Responses.
